1. Agreement and contracting entity

These Terms of Use govern access to and use of W3TURN AI Office ("AI Office") by customers, administrators, users and anyone who accesses the service. "Company", "we", "our" or "us" means Weturn Artificial Intelligence Developing Services L.L.C, a company registered in Dubai, United Arab Emirates, of Office 905, Magnum Opus Tower, Al Thanyah First, Barsha Heights, Dubai, trade licence [insert]. "Customer", "you" or "your" means the organization or person using AI Office. W3TURN and W3LINK are trademarks of Weturn.

If you use AI Office on behalf of an organization, you represent that you have authority to bind that organization. If you do not have authority or do not agree, do not use AI Office.

An order form, subscription plan, statement of work, data processing addendum, enterprise agreement or other written agreement may supplement these Terms. If there is a conflict, the signed written agreement controls for that customer to the extent of the conflict.

These Terms, the Privacy Policy, the AI Usage Notice and any signed agreement are the entire agreement for AI Office. Marketing materials and feature descriptions outside these documents are informational only.

2. What AI Office provides

AI Office is a business AI workforce platform. Customers can configure AI agents, assign tasks, use Linda orchestration, run Work Runs, generate deliverables, manage agent rosters, connect selected business systems, answer their own customers through connected chat, WhatsApp, email and telephone channels, review AI outputs and track usage and cost.

AI Office includes live specialist agents, generic advisory agents, beta agents, agents requiring connectors, and coming-soon features. Agent capability labels are part of the service and should be read before relying on an agent.

AI Office is a productivity and decision-support tool. It does not replace professional advice, expert judgment, compliance review, human management, legal review, financial review, medical review, security review or customer-specific governance procedures.

3. Accounts, administrators and users

Customers are responsible for all activity in their workspace, including activity by administrators, users, contractors, invited collaborators, agents acting on customer instructions and configuration, and integrated systems.

Sign-in is passwordless. Access is granted by a single-use link sent to a user's email address, so control of that mailbox is control of the account. Customers must maintain accurate account information, protect access to the mailboxes of their users, configure appropriate roles and permissions, and promptly remove users who should no longer have access. Where sign-in is provided through W3LINK, the Customer is also responsible for managing the linked W3LINK accounts.

Administrators may access user activity, Customer Content, Work Runs, deliverables, audit logs, billing usage, agent configurations, channel conversations and call transcripts.

4. Customer Content, connectors and credentials

"Customer Content" means data, prompts, documents, files, messages, records, tasks, contacts, leads, instructions, connector data, channel messages, call transcripts and other materials submitted to or processed by AI Office on behalf of the Customer.

Customer retains ownership of Customer Content. Customer grants us a limited licence to host, copy, process, transmit, display, transform, generate outputs from and otherwise use Customer Content as necessary to provide, secure, support, improve and operate AI Office in accordance with these Terms and the applicable agreement.

Customer represents and warrants that it has all rights, permissions, notices, consents and legal bases required to submit Customer Content to AI Office and to allow AI Office, agents, integrations, channels and subprocessors to process it.

Where Customer supplies credentials, API keys or tokens so agents can access third-party systems, Customer represents that it is authorized to grant that access, remains responsible for the scope of permissions granted, and must revoke credentials promptly when access should end. We store supplied credentials encrypted at rest and use them only to perform the authorized functions.

Customer must not upload or connect data it is not authorized to process, including regulated, sensitive, confidential, employee, client, financial, health, biometric, children's or criminal-offence data, unless it has appropriate legal authority, policies, safeguards and written approval where required.

5. AI outputs, Work Runs and human review

AI Office generates summaries, recommendations, classifications, messages, spoken replies, plans, analyses, reports, tables, task suggestions, workflow steps and other outputs. These are produced by automated systems and may be inaccurate, incomplete, misleading, biased, outdated or unsuitable.

Customer is responsible for reviewing AI outputs before using them, sharing them, relying on them, making business decisions, contacting third parties, updating systems or taking external action.

Unless separately agreed in writing, AI Office must not be used as the sole basis for legal, medical, financial, employment, credit, insurance, housing, education, criminal justice, safety-critical or security-critical decisions affecting individuals or legal rights.

Approvals, confidence indicators, sources, cost estimates, audit trails and Work Run histories are support tools and do not guarantee correctness, compliance or completeness.

6. Agent capability labels and beta features

Customers must read and follow agent capability labels: Live Specialist, Generic Advisory, Needs Connector, Beta, Coming Soon and Disabled.

Generic Advisory agents provide drafts, ideas, summaries or recommendations but are not fully specialized operational agents. Needs Connector agents cannot access or update the relevant business data until the integration is configured and authorized. Beta, preview, experimental and coming-soon features may be incomplete, less reliable, unsupported, changed, limited or removed, are provided "as is", and should not be used for high-risk production workflows without written approval.

7. Connected channels

Where the Customer enables a channel, agents send and receive communications with the Customer's contacts on the Customer's behalf, under the Customer's configuration and approval settings. Channels currently include a website chat widget, WhatsApp through the Meta WhatsApp Business Platform, inbound email, and telephone through a telephony provider.

Telephone calls are answered by an automated system, and both sides of the conversation are transcribed and stored against the resulting support record.

Customer is solely responsible for: obtaining any consent required to message, call, record or transcribe its contacts; giving any legally required notice that the caller is speaking with an automated system; honouring opt-outs promptly; complying with anti-spam, e-marketing, telecommunications and consumer protection laws in each destination market; complying with each channel provider's terms, including WhatsApp Business messaging policies and template rules; and the content of communications sent through the channel.

Channel providers may suspend, restrict or change their platforms. We are not responsible for channel provider actions, delivery failures or policy enforcement.

8. Acceptable use

You must not use AI Office to:

  • violate law, regulation, contractual duties, privacy rights, intellectual property rights, employment rights or confidentiality obligations;
  • generate, facilitate or distribute malware, phishing, spam, scams, credential theft, cyber abuse or unauthorized access;
  • send unsolicited or non-consented messages or calls through connected channels, or continue contacting people who have opted out;
  • harass, defame, threaten, discriminate, exploit, surveil or unlawfully profile individuals;
  • make automated decisions with legal or similarly significant effects without required human review, notice, rights and legal basis;
  • generate deceptive, impersonating, fraudulent or misleading content, including undisclosed AI-generated content where disclosure is required;
  • process sensitive or regulated data without authorization and safeguards;
  • bypass usage limits, security controls, model safeguards, billing controls or access restrictions;
  • reverse engineer, scrape, resell, benchmark or train competing systems from the service except as expressly permitted;
  • use AI Office in safety-critical systems or emergency services unless expressly agreed in writing.

9. Integrations and third-party services

AI Office may connect to W3LINK, messaging and voice channels, CRM systems, email, calendar, file storage, payment, analytics, support, security and other third-party services. Customer is responsible for authorizing integrations, managing permissions and credentials, and complying with third-party terms.

We are not responsible for third-party services, data sources, outages, changes, security incidents or content, except to the extent required by law or expressly agreed in writing.

If an integration is disabled, unavailable or misconfigured, AI Office may produce limited outputs, ask for missing data, or mark the workflow as requiring a connector.

10. Fees, subscriptions, usage units and taxes

Fees, plans, usage units, included limits, overages, setup fees, payment terms, taxes and renewal rules are stated in the applicable order form, pricing page, invoice or written agreement. Payments are processed by our payment processor.

AI Office meters usage by workspace, agent, Work Run, output, token usage, tool calls, model tier, connector, channel message, call, automation or work unit. Customers are responsible for monitoring usage and configuring budget limits where available.

Unless otherwise stated, fees are non-refundable except as required by law or expressly stated in the applicable agreement. Late payments may result in suspension, downgrade or termination after notice where required. Taxes, duties, levies, VAT, withholding taxes and similar charges are the Customer's responsibility unless included in the price.

11. Confidentiality and data protection

Each party may receive confidential information from the other. The receiving party must use reasonable care to protect it and may use it only to perform or receive the services, enforce agreements, comply with law, or as otherwise permitted in writing.

We process personal data in accordance with the W3TURN AI Office Privacy Policy and any applicable data processing addendum. Customer is responsible for its own privacy notices, legal bases, data governance, contact consent and user permissions.

12. Intellectual property

We and our licensors own AI Office, including software, workflows, templates, user interface, agent framework, documentation, trademarks including W3TURN and W3LINK, models we provide or configure, and all related intellectual property, excluding Customer Content.

Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use AI Office for internal business purposes during the subscription term.

Customer owns Customer Content. To the extent permitted by law and subject to third-party rights, Customer may use AI outputs generated for Customer through AI Office. Because AI-generated output may not be unique, other users may receive similar or identical outputs.

Feedback may be used by us without restriction or obligation, provided we do not disclose Customer's confidential information in doing so.

13. Suspension and termination

We may suspend or limit access if we reasonably believe there is a security risk, legal risk, unpaid fees, violation of these Terms, misuse of AI features or channels, excessive usage, harmful content, or risk to the service, users or third parties.

Either party may terminate as stated in the applicable order form or written agreement. Customer may request an export of its Customer Content at any time during the term, and should do so before termination. On termination Customer's access ends and stored connector credentials are deleted as described in the Privacy Policy and the applicable agreement.

Sections intended to survive termination, including payment obligations, confidentiality, data protection, intellectual property, disclaimers, limitations of liability, indemnity and dispute resolution, will survive.

14. Disclaimers

AI Office and AI outputs are provided "as is" and "as available" except as expressly stated in a signed agreement. We do not warrant that the service or outputs will be uninterrupted, error-free, secure, accurate, complete, lawful for a customer's specific use, or fit for a particular purpose.

We disclaim implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, loss of data, business interruption, reputational harm or loss of goodwill, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to AI Office will not exceed the fees paid by Customer during the twelve months before the event giving rise to the claim, or USD [1,000], whichever is greater.

Nothing limits liability that cannot be limited under applicable law, including fraud, wilful misconduct, death or personal injury caused by negligence where exclusion is prohibited, or other non-excludable liability.

16. Indemnity

Customer will defend, indemnify and hold harmless the Company and its affiliates, officers, employees and agents from claims arising from Customer Content, customer-configured workflows, communications sent through connected channels at the Customer's direction or configuration, Customer's use of AI outputs, violation of law, violation of third-party rights, misuse of the service, or breach of these Terms.

Company will defend Customer from claims alleging that AI Office, as provided by Company and used according to these Terms, directly infringes a third party's intellectual property rights, subject to customary exclusions, prompt notice, control of defence and cooperation. This does not apply to Customer Content, third-party services, customer modifications or misuse.

17. Compliance, export and sanctions

Customer must comply with applicable laws, including privacy, employment, consumer protection, marketing and e-communications, anti-bribery, export control, sanctions and sector-specific regulations. Customer must not use AI Office where prohibited by sanctions or export control laws.

18. Changes to the service and Terms

We may improve, modify, suspend or discontinue features. Material changes to these Terms will be notified as required by law or the applicable agreement. Continued use after the effective date of updated Terms means acceptance.

19. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, unless a signed written agreement states otherwise. [Counsel to confirm mainland Dubai versus DIFC or ADGM based on the operating entity's licensing.]

Before formal proceedings, the parties will attempt in good faith to resolve any dispute through negotiation for at least 30 days after written notice.

Any dispute not resolved by negotiation will be finally settled by binding arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) by one arbitrator, seated in Dubai, conducted in English. Each party waives any right to participate in class, collective or representative proceedings to the maximum extent permitted by law.

We may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or address fraud or unauthorized access, without first following the steps above.
